Agreement Summary

Assignment & Transfer Agreement

On August 19, 2026, Apimeds Pharmaceuticals US, Inc. entered into an Assignment and Transfer Agreement with FreeT Inc. covering certain Apitox-related rights held by FreeT.

The Assigned Rights Include:

Korean Medicine Clinics: 100% of FreeT’s rights relating to the Apitox market for Korean medicine clinics in the Republic of Korea.

U.S. Commercial Royalty: A 25% royalty entitlement on defined economic proceeds arising from the development, licensing, sale or other commercialization of Apitox in the United States.

Overseas Proceeds Participation: A 25% participation right in net proceeds from overseas rights agreements.

Quarterly Information Rights: Rights to receive quarterly information concerning the Apitox clinical program and overseas rights transactions.

Contractual Benefits: Certain contractual benefits relating to data, technology and third-party manufacturing or rights agreements.
Legal Boundaries

Scope of the Assignment

The assignment is limited to rights held by FreeT and legally assignable as of the effective date.

It does not transfer:

  • Underlying ownership of Apitox intellectual property.
  • Unrestricted global rights.
  • Rights that FreeT did not legally hold.
  • Additional territorial, indication-specific, manufacturing, regulatory or commercialization rights not granted to FreeT.

Future rights arrangements remain subject to separate definitive agreements.
